Terms of service

These terms govern your use of the FocusMD service provided by [LEGAL ENTITY NAME] (“we”, “us”). By using FocusMD you agree to them on behalf of yourself and, where applicable, the practice you represent.

1. The service

FocusMD records consultations on your instruction and produces draft clinical documentation — transcripts, SOAP notes, and suggested ICD-10 and MBS coding — for review by the treating clinician.

2. Clinical responsibility (important)

FocusMD is a documentation assistant and does not provide medical advice, diagnosis or treatment recommendations. All output is a draft until reviewed and approved by the treating clinician, who remains solely responsible for the accuracy and completeness of the clinical record and for any coding or billing decisions. Approved notes are locked in FocusMD, but approving a note is your attestation that it is correct, not ours.

3. Your obligations

• Obtain and document patient consent before recording any consultation.
• Use the service only for lawful clinical documentation purposes.
• Comply with your professional obligations, including privacy and record-keeping requirements applicable to your practice.
• Keep your account credentials secure; accounts are personal and must not be shared.
• Ensure your use of recording and AI-assisted documentation is permitted by your practice policies and any insurer requirements.

4. Accounts and access

Access is by invitation from a clinic administrator. We may suspend or terminate accounts that breach these terms or create risk to the service or its users.

5. Fees and billing

Fees are as agreed with your practice in your order form, billed [monthly] in advance. Trials are free for 14 days. Prices are in AUD and exclude GST.

6. Data and confidentiality

You retain all rights to your clinical data. We process it only to provide the service, as described in our privacy policy. You may export or delete your data at any time from within the service. On account closure we delete account data within [30] days.

7. Intellectual property

We own the FocusMD software. You own your clinical data and the notes generated from your consultations. You grant us the limited right to process consultation content solely to provide the service to you.

8. Availability and support

We aim for high availability but do not guarantee uninterrupted service. We may modify or discontinue features, with reasonable notice where practicable.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or connected to the service is limited to the fees you paid in the [12] months before the claim arose. We are not liable for indirect or consequential loss, including loss of profit or revenue. Nothing in these terms limits liability that cannot lawfully be limited.

10. Terminating

You may stop using the service and cancel at any time. We may terminate for breach with notice where practicable. On termination, export your data — we delete account data within [30] days of closure.

11. General

These terms are governed by the laws of [STATE/TERRITORY], Australia. If any provision is unenforceable, the rest remains in force. We may update these terms; material changes will be notified to clinic administrators in advance.
